Maintenance of Statutory Registers

Statutory Registers are required to be kept at the Registered Office of the Company and are required to be updated on regular intervals.

As per the Provisions of Companies Act, 2013 some of the Registers are required to be kept open for inspection by Directors, Members, Creditors and by other persons. A Company is required to provide the extracts from the Registers, if demanded by Directors, Members, Creditors and by other persons on payment of specified fees.

Non-maintenance may attract the penalty on the Company & every Officer in Default of not less than Rs. 50,000/- which may extend upto Rs. 3 lacs. Also, penalty of Rs. 1,000/- per day if the default continues

4 MGT-3: Foreign Register of Members, Debenture holders, other security holders or beneficial owners residing outside India Section 88(4) and Rule 7 of the Companies (Management and Administration) Rules, 2014 It can be inspected by the members of the company without fee or by any other person with payment of fee of not more than Rs. 50 per inspection. Non-maintenance may attract the penalty on the Company & every Officer in Default of not less than Rs. 50,000/- which may extend upto Rs. 3 lacs. Non-maintenance may attract the penalty on the Company upto minimum of 5 times of the Face Value of the Shares involved which may extend upto 10 times or Rs. 10 Crore whichever is higher. Whereas, every Officer in Default is liable for action under section 447.
2 Form SH-3: Register of Sweat Equity Shares Section 54 and Rule 8 (14) of the Companies (Share Capital and Debentures) Rules, 2014 Section & rule is silent regarding the inspection Section & rule is silent regarding the penalty.
3 Form SH-6: Register of Employee Stock Options Section 62 and Rule 12 (10) Section & rule is silent regarding the inspection. Section & rule is silent regarding the penalty.
4 Form SH-10: Register of Shares or Securities Bought Back Section 68 and Rule 17 (12) of the Companies (Share Capital and Debentures) Rules, 2014 Section & rule is silent regarding the inspection Non-maintenance may attract the penalty on the Company of Minimum Rs. 1 Lakh which may extend upto Rs. 3 Lakh & every Officer in Default may have imprisonment of upto 3 Years with or without penalty of Minimum Rs. 1 Lakh which may extend upto Rs. 3 Lakh.
Register of Directors and KMP

1 Register of Directors and KMPs Section 170(1) and Rule 17 of the Companies (Appointment and Qualification of Directors) Rules, 2014 The Register can be inspected during Business Hours & members have right to take extracts & copies on request for free of cost within 30 days of making the request. The Register shall be open for inspection in the Annual General Meeting (AGM) of the Company & made accessible to every person attending the AGM. Non-maintenance may attract the penalty on the Company & every Officer in Default minimum of Rs. 50 Thousand which may extend upto Rs. 5 Lakhs.
Register of Deposits and Register of Charges

Register of Loans, Guarantee and Investment held in Own Name

Non-maintenance may attract the penalty on the Company minimum of Rs. 25 Thousand and Maximum of Rs. 5 Lakhs. Whereas, every Officer in Default can be imprisoned upto period of 2 Years with or without fine minimum of Rs. 25 Thousand which may extend upto Rs. 1 Lakh.
2 Form MBP-3: Register of Investments not held in its own name Section 187 and Rule 14 of the Companies (Meeting of Board and its Powers) Rules, 2014 The Register can be inspected during Business Hours by Members & Debenture-holders without charges & as per the restrictions given in the Articles of the Company. Non-maintenance may attract the penalty on the Company minimum of Rs. 25 Thousand and Maximum of Rs. 25 Lakhs. Whereas, every Officer in Default can be imprisoned upto period of 6 Months with or without fine minimum of Rs. 25 Thousand which may extend upto Rs. 1 Lakh.
Register of Contracts and Arrangements in which Directors are Interested

1 Form MBP-4: Register of Contracts or Arrangements in which Directors are interested Section 189 and Rule 16 of the Companies (Meeting of Board and its Powers) Rules, 2014 The register can be inspected during Business Hours without any charge. The register shall be produced at every AGM of the Company and made accessible to every person attending the AGM. Non-maintenance may attract the penalty on the Company minimum of Rs. 25 Thousand and Maximum of Rs. 25 Lakhs.
